These Terms & Conditions ("Terms") govern access to and use of the websites, products and services operated by Merethion (OPC) Private Limited ("Merethion", "we", "us"), a One Person Company incorporated under the Companies Act, 2013, with its registered office at [Registered office address] — including the website merethion.com and the Akriva platform available at akriva.ai (together, the "Services"). Akriva is a brand of Merethion (OPC) Private Limited.
By creating an account, subscribing, or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of a coaching institute or other organisation, you represent that you are authorised to bind that organisation, and "Customer" refers to it.
1. The Services
Akriva is a software-as-a-service platform for coaching institutes preparing students for competitive examinations (such as JEE and NEET). It provides, among other features: AI-assisted question paper generation with verification workflows; a computer-based test (CBT) delivery experience; performance analytics; and student/parent reports. Features vary by subscription plan and may evolve over time.
2. Accounts and eligibility
- Accounts are intended for institutes, their owners and authorised faculty. You must provide accurate information and keep your credentials secure; you are responsible for activity under your account.
- Students access tests through mechanisms provided by their institute (for example, a test code). The Customer is responsible for obtaining any consents required for its students' participation, including parental consent for minors.
- You must be legally capable of entering into a contract under Indian law to create a Customer account.
3. Subscriptions, fees and taxes
- The Services are offered on subscription plans (including a free trial), with limits (such as papers per billing period) described at the point of purchase. Current plan pricing is displayed within the Services.
- All prices are in Indian Rupees (INR) and are exclusive of GST, which is charged additionally at the applicable rate.
- Payments are processed by our payment partner (currently Razorpay). We do not collect or store your card or banking credentials.
- Subscriptions renew for successive billing periods unless cancelled. Cancellation and refunds are governed by our Refunds & Cancellation Policy.
- We may revise plan pricing or limits prospectively, with notice before the change applies to your next billing period.
4. AI-generated content and verification
- Question papers, solutions and related material in Akriva are drafted with the assistance of artificial-intelligence systems and pass automated verification checks. They are provided as drafts for review by qualified educators.
- The Customer's faculty remain responsible for reviewing and approving content before administering it to students. While we invest heavily in accuracy, we do not warrant that AI-generated content is free of errors.
- Reports, percentile bands, rank predictions and similar analytics are estimates for practice guidance only. They are not admissions advice and carry no guarantee of examination outcomes.
5. Customer data and content
- The Customer retains all rights in the data it submits to the Services — including student rosters, institute information and any uploaded content ("Customer Data").
- We process Customer Data solely to provide the Services, as described in our Privacy Policy.
- The Customer warrants that it has the lawful right (including all necessary consents from students and parents/guardians) to submit Customer Data to the Services.
- Question papers generated for a Customer may be exported, printed and used by that Customer for its own teaching and assessment purposes.
6. Acceptable use
You agree not to:
- resell, sublicense or provide the Services to third parties except as expressly permitted by your plan;
- attempt to probe, disrupt or gain unauthorised access to the Services or their infrastructure;
- use the Services to store or transmit unlawful, infringing or harmful material;
- scrape, bulk-extract or systematically copy content from the Services other than through features we provide (such as exports);
- misrepresent AI-generated analytics as official examination results.
7. Intellectual property
- The Services — including software, design, trademarks ("Merethion", "Akriva") and all associated goodwill — are owned by Merethion (OPC) Private Limited or its licensors. No rights are granted except as expressly set out in these Terms.
- Feedback you provide may be used to improve the Services without obligation to you.
8. Availability and support
- We aim to keep the Services available continuously, but they are provided on an "as is" and "as available" basis. Planned maintenance and factors beyond our reasonable control may cause interruptions.

9. Limitation of liability
- To the maximum extent permitted by law, Merethion shall not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or goodwill, arising out of or in connection with the Services.
- Our aggregate liability for all claims in any twelve-month period shall not exceed the fees actually paid by the Customer for the Services in that period.
- Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Indemnity
The Customer shall indemnify Merethion against claims arising from (a) Customer Data submitted without the necessary rights or consents, or (b) use of the Services in violation of these Terms or applicable law.
11. Suspension and termination
- You may stop using the Services and cancel your subscription at any time; access continues until the end of the paid billing period.
- We may suspend or terminate access for material breach of these Terms, non-payment, or where required by law — with notice where practicable.
- On termination, we will make Customer Data available for export for a reasonable period as described in the Privacy Policy, after which it may be deleted.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified through the Services or by email before they take effect. Continued use after the effective date constitutes acceptance.
13. Governing law and jurisdiction
These Terms are governed by the laws of India. Subject to any mandatory provisions of law, the courts at [City of jurisdiction — to be added], India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
